The rules that govern your use of PrioEat โ read them carefully before using our platform.
Summary (not a substitute for the full terms): PrioEat lets you pre-order meals at participating Nigerian restaurants so your food is ready when you arrive. You pay the full bill (food plus PrioEat's platform fee) in-app via Paystack at the time of ordering โ nothing is collected on arrival. A platform fee of โฆ1,000 base plus 2.5% of the order value above โฆ20,000 applies to each transaction (Member-tier customers receive a percentage discount). If you cancel a paid order before the restaurant accepts it, you are refunded as PrioEat Credit redeemable on a future order. By using PrioEat, you agree to these terms in full.
PrioEat is an online restaurant pre-ordering platform operated by PrioEat Technologies Limited, a company registered in the Federal Republic of Nigeria ("PrioEat", "we", "our", or "us"). PrioEat enables customers to browse restaurant menus, place advance meal orders, and secure table reservations โ so their food is ready on arrival at the restaurant.
These Terms of Service ("Terms") form a legally binding agreement between you and PrioEat Technologies Limited. By creating an account or using the PrioEat mobile application, web application, or any related service (collectively the "Services"), you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
To use PrioEat you must:
PrioEat is currently available in Abuja, Federal Capital Territory (primary launch city) and Lagos State. Availability at individual restaurants is subject to change at our discretion. Restaurant listings on the platform represent offers from the restaurant operator โ PrioEat is a marketplace intermediary and is not itself a food vendor.
You must create a PrioEat account to place orders. You are responsible for all activity that occurs under your account, whether or not you authorised that activity.
You must notify us immediately at hello@prioeat.com if you suspect any unauthorised access to your account. PrioEat will never ask for your password by email, SMS, or phone call. We are not liable for losses arising from your failure to maintain the security of your account credentials.
We reserve the right to suspend or permanently terminate any account that violates these Terms, engages in fraudulent activity, or is otherwise used in a manner that harms PrioEat, its restaurant partners, or other users. You may close your account at any time by contacting hello@prioeat.com. Outstanding payment obligations survive account closure.
PrioEat allows you to browse a participating restaurant's menu, select items, and place an advance order tied to a specific date, time, and table. Completing your in-app payment via Paystack (food subtotal plus PrioEat's platform fee โ see Sections 4 and 5) constitutes a confirmed order and reservation. Nothing is collected on arrival at the restaurant.
You are responsible for reviewing your order before confirming payment. Menu items, prices, and availability are set by each restaurant and may change without notice. PrioEat displays this information in good faith but cannot guarantee its accuracy at all times.
PrioEat provides a "Special Instructions" field for communicating dietary requirements or allergies to the restaurant. However, PrioEat cannot guarantee that any restaurant will be able to accommodate specific requests. If you have a severe allergy or medical dietary requirement, you must confirm directly with the restaurant before ordering.
Your order is confirmed when you receive an in-app notification and (where applicable) a confirmation email. A confirmed order creates a binding obligation between you and the restaurant. PrioEat processes the full bill on the restaurant's behalf as a payment intermediary, then disburses the restaurant's share via Paystack's gateway-level split โ see Section 5.
You agree to arrive within 15 minutes of your stated reservation time. Restaurants may reassign your reserved table if you arrive more than 15 minutes late without prior notice via the app. No-show orders are subject to the cancellation policy in Section 6.
All transactions on PrioEat are processed securely by Paystack, a PCI-DSS compliant Nigerian payment processor licensed by the Central Bank of Nigeria (CBN). PrioEat does not store your card details.
A single platform fee is charged on every order to fund the PrioEat service: a โฆ1,000 base, plus 2.5% of the portion of the order value above โฆ20,000, subject to a minimum and maximum set in PrioEat's published fee configuration. Member-tier customers (Bronze / Silver / Gold / Platinum) receive a percentage discount on this fee, applied automatically at checkout. The final fee โ including any tier discount โ is always shown to you before you confirm payment.
The platform fee is charged to the customer and collected together with the food bill at the time of order placement. It is refunded as PrioEat Credit (not cash) when an order is cancelled โ see Section 6.
Menu prices on PrioEat are inclusive of any applicable tax the restaurant chooses to embed in its price list. PrioEat does not compute, display, or charge VAT as a separate line item on customer orders. Each restaurant remains responsible for its own tax obligations to the Federal Inland Revenue Service (FIRS) and other relevant Nigerian tax authorities in respect of the food and services it sells through PrioEat.
All prices and transactions on PrioEat are denominated in Nigerian Naira (โฆ / NGN). International card payments are accepted; your card issuer's exchange rate and any applicable foreign transaction fees will apply.
PrioEat operates on a 100% online payment model. The full order amount โ food subtotal plus PrioEat's platform fee โ is charged in-app via Paystack at the time you place the order. Nothing is collected on arrival.
At the moment of the customer's payment, Paystack splits the transaction at the gateway between two destinations:
Restaurants without an active Paystack subaccount. Where a restaurant has not yet completed Paystack subaccount provisioning, the food portion of the customer's payment is temporarily held in PrioEat's main account and disbursed to the restaurant on settlement day. PrioEat tracks this balance per restaurant in its admin Finance ledger and remits it via bank transfer in accordance with the restaurant's onboarding agreement.
When a customer pays part of an order using PrioEat Credit (see Section 6), the cash amount Paystack splits to the restaurant subaccount is the food subtotal minus the credit applied to food. PrioEat separately remits the credit-covered portion to the restaurant โ the restaurant always receives the full food value of every order, whether settled via Paystack cash, PrioEat Credit, or a combination.
You will always see the food subtotal, the platform fee (with any applicable Member-tier discount), and any PrioEat Credit applied โ clearly itemised in the in-app Order Summary before you authorise the Paystack charge. The amount Paystack bills your card is exactly the cash total displayed.
If you cancel a paid order, or if a restaurant cancels your confirmed order, the default refund mechanism is PrioEat Credit added to your in-app Wallet. PrioEat Credit:
You can cancel an order in-app at any time before the restaurant accepts it (status transitions from "Pending" to "Confirmed"). Once accepted, you may still request cancellation but the restaurant retains discretion to refuse โ for example, where ingredients have already been used or preparation has started. To cancel, open the order in the PrioEat app and tap Cancel Order.
For successful cancellations of paid orders, the full charged amount (food plus platform fee) is credited to your Wallet within seconds of the cancellation. A confirmation notification is sent to you in-app.
If a restaurant cancels your confirmed order (closure, capacity, ingredient unavailability, kitchen emergency), the full charged amount is credited to your Wallet automatically. PrioEat may, at its discretion, also offer a courtesy bonus credit for use on a future order.
PrioEat does not process cash refunds, Paystack reversals, or refunds to your original payment method. Every cancellation, refund, or compensation is issued as PrioEat Credit to your in-app Wallet. PrioEat Credit:
If you believe your situation is exceptional (suspected fraud, duplicate charge, account-closure data-deletion request), contact hello@prioeat.com with your order reference number. PrioEat handles such cases manually through finance reconciliation; resolutions remain credit-based and do not return funds to the original payment method.
To raise a payment dispute, contact hello@prioeat.com with your order reference number within 72 hours of the incident. PrioEat will investigate and respond within 5 business days. PrioEat's decision on disputes is final, but this does not affect your statutory rights under Nigerian consumer protection law.
Restaurants listed on PrioEat ("Restaurant Partners") are independent businesses. By onboarding to PrioEat, each Restaurant Partner agrees to the following obligations:
PrioEat reserves the right to suspend or permanently remove any Restaurant Partner from the platform for repeated failure to honour confirmed orders, sustained poor customer ratings, regulatory non-compliance, or any breach of the Partner Agreement. Suspension does not relieve the Partner of obligations for confirmed orders placed prior to suspension.
All content on the PrioEat platform โ including but not limited to the PrioEat name, logo, wordmark, user interface design, software code, written content, and photographs published by PrioEat โ is the exclusive property of PrioEat Technologies Limited and is protected under Nigerian and international copyright, trademark, and intellectual property laws.
Subject to your compliance with these Terms, PrioEat grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial purposes. This licence does not include any right to:
If you submit content to PrioEat (including order notes, review responses, or support communications), you grant PrioEat a worldwide, royalty-free, non-exclusive licence to use, reproduce, and display that content solely for the purpose of operating and improving the Services. You retain ownership of any content you submit.
Restaurant Partners grant PrioEat a licence to display their menu items, descriptions, photographs, and branding on the platform for the purpose of facilitating orders. This licence is limited to the duration of the Partner Agreement and terminates upon removal from the platform.
You agree that you will not, under any circumstances:
Violations of this section may result in immediate account suspension, permanent termination, referral to Nigerian law enforcement authorities (including the Economic and Financial Crimes Commission, EFCC, where applicable), and civil legal action.
To the maximum extent permitted by Nigerian law, PrioEat Technologies Limited, its directors, officers, employees, and agents shall not be liable for:
Where liability cannot be fully excluded by law, PrioEat's aggregate liability to you in connection with any single incident shall not exceed the amount you paid to PrioEat (i.e., the platform fee) in respect of the transaction giving rise to the claim.
PrioEat is a marketplace intermediary. The contract for the supply of food and restaurant services is between you and the individual Restaurant Partner. PrioEat is not a party to that contract and does not assume the restaurant's liability. Disputes regarding food quality, portion size, service standards, or balance payment must first be raised directly with the restaurant; if unresolved, escalate to PrioEat via our Support page.
You agree to indemnify and hold harmless PrioEat Technologies Limited and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your violation of these Terms or your use of the Services.
Nothing in these Terms limits or excludes any rights you have under the Federal Competition and Consumer Protection Act (FCCPA) 2018 or any other applicable Nigerian consumer protection legislation. If any provision of these Terms is found to be unenforceable under Nigerian law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja, without prejudice to any right of either party to seek injunctive or interim relief from any competent court.
Before commencing any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, the parties may seek mediation through the Lagos Court of Arbitration or the Chartered Institute of Arbitrators (Nigeria Chapter) before resorting to litigation.
PrioEat may update these Terms at any time. Significant changes will be communicated via in-app notification or email at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Services and may close your account.
